Hawaii Corporation Names

The Hawaii Corporation name must include the word or an abbreviation of a word that indicates that the named entity is a corporation. Examples of a corporate name ending include "Incorporated," "Corporation," or "Limited." The name cannot state or imply that the corporation or LLC is formed for purpose other than what is permitted in the articles of incorporation/organization. Also, the name cannot be the same or deceptively similar to any active domestic or foreign corporation or LLC filed with the state.

Hawaii Limited Liability Company (LLC) Names

The Hawaii Limited Liability Company (Hawaii LLC) must use the term "Limited Liability Company," "Limited Liability Law Company," "LLC," "LLLC," "L.L.C." or L.L.L.C. The name cannot state or imply that the corporation or LLC is formed for purpose other than what is permitted in the articles of incorporation/organization. Also, the name cannot be the same or deceptively similar to any active domestic or foreign corporation or LLC filed with the state.

Director Information:

Minimum Number - Not less than three, unless there are only one or two shareholders of record; then the number of directors may be less than three but not less than the number of shareholders.
Residence Requirements - At least one director shall be a state resident.
Age Requirements - None.

Officer Information

Officers are required to be listed in the articles of incorporation.

Stock Information

The number of shares the corporation is authorized to issue must be stated in the Articles. NOTICE: A Hawaii corporation is exempt from registration under Hawaii's Uniform Securities Act if there are 25 or fewer subscribers.

Registered Agent

A corporation or LLC must maintain a registered agent at all times to accept any important service of process from the state. The registered agent must be located and available during regular business hours at a legal address within the state. Hawaii prohibits the use of a P.O. Box as your registered agent's address
